回扣经营者为了获取交易机会或优惠交易条件，在帐外直接或间接给予交易对方或其雇员等有关个人以金钱或有价证券的行为。是商业贿赂的主要表现形式。其特点是:①回扣发生在商品(或服务)交易双方当事人之间，是交易的一方当事人给予对方的金钱，包括向对方单位支付的回扣和向对方单位有关个人支付的回扣。既可以是买方给予卖方的，也可以是卖方给予买方的。给自己的雇员支付的提成费和给予经纪人的报酬，不是交易双方当事人之间的行为，不属于回扣。②回扣是在帐外暗中给付或收受的，具有很强的隐蔽性。这是回扣与合法折扣的最重要的区别。帐外给付和收受指双方当事人都不入帐。作假帐进行掩饰，仍属帐外暗中给付行为。③回扣包括货币和有价证券。多数是卖方从买方支付的价款中在帐外按一定比例返还给买方或其经办人员一部分;也有的是买方因急需某种商品，在应付的价款外给予卖方或其经办人员一笔“酬金”。④回扣的目的是为了不正当地获取交易机会或优惠的交易条件。回扣的支付与收受都是故意和自愿的。不是故意和自愿的，不是回扣。 回扣作为一种竞争手段，是商品经济发展到一定历史阶段的产物。早在19世纪中叶，为了增加货运量，一些西方国家的铁路运输部门就已大量使用回扣，以后在其他商业活动中普遍采用。随着商品经济的发展，回扣被作为不正当竞争行为而受到限制或禁止。在中国，1978年以后，回扣曾一度大量出现，对促进乡镇集体企业和个体、私营企业的发展，起到了一定作用。但是，弊远大于利。它是一种腐蚀剂，违背了市场竞争规则，损害了国家、集体和消费者的利益，败坏了社会风气。中国《反不正当竞争法》把回扣作为一种不正当竞争行为加以禁止，明确规定在帐外给予对方单位或者个人回扣的，以行贿论处;对方单位或者个人在帐外暗中收受回扣的，以受贿论处。这不仅明确了回扣的性质，而且还明确了回扣的法律责任。
