合资经营期是指根据合资项目的营业性质、投资规模和该企业对国家的重要性,合资企业合营双方共同协商确定的合资经营期限,又称合营期限。合营期限从合资企业营业执照颁发之日算起,包括建设期和生产经营期,生产经营期又可分为投资期和生产期。

  国家对中外合资企业的合营期限有如下规定:
  1.合营企业有的行业应当约定合营期限;有的行业的合营企业,可以约定合管期限,也可以不约定合营期限。
  2.在合营合同中要约定期限的有下列行业:
  (1)服务性行业如饭店、公寓、写字楼、娱乐、饮食、出租汽车、彩扩、维修、咨询等;
  (2)从事土地开发及经营房地产的;
  (3)从事资源勘查开发的;
  (4)国家规定限制投资项目的;
  (5)国家其他法律、法规规定需要约定合营期限的。

  3.属于国家鼓励和允许投资的项目,在合同中不约定合营期限的,应在合同中订立终止条款,规定企业终止的条件、终止程序以及企业清算和财产分配原则。
  4.按规定在合同中约定合营期限的项目,其期限应根据项目的行业类型、投资额、投资风险和投资回收期的长短确定,一般不超过30年。属于国家鼓励和允许投资的项目,在合同中约定合营期限的,可适当放宽,其约定期限一般不超过50年。从事土地开发建设并自行经营的项目,合营期限不超过土地有偿使用权的期限;房地产开发建设后全部出售、转让的,合营期限应在开发建设并完成出售转让的合理期限内;资源勘探开发项目,期限应在批准开采储量开采完毕的合理期内。合资企业的合营期满后也可申请延长合营期限。
