【非营利机构】为了生产货物和提供服务而成立的不以盈利为目的的社会实体。分为从事市场生产和从事非市场生产两类。具有如下特点:①大部分非营利机构都是依法成立的，其存在并不受成立、资助、控制或管理它的个人、公司或政府单位认可与否的限制。②非营利机构中有很多是由联合团体所控制，各成员享有平等的权利，并对非营利机构的经营承担有限责任。③非营利机构不存在分享其利润和股本的股东，其成员无权分享非营利机构创造的任何利润和盈余。④非营利机构通常都是由全体成员通过简单多数选出的官员或组织来管理。
