考虑到保护历史城市的重要性和根据《世界遗产公约》，各国和国际社会所应履行职责，以及传播信息的必要性，—参加“中国—欧洲历史城市市长会议”的代表着重强调，应根据社会和经济发展的需要，加强对历史城市的保护。并按照可持续发展的原则，为未来寻求保护的途径和方法。
来自中国15个和欧盟9个历史城市的市长或其代表于1998年4月7—9日相聚在中国苏州。
代表们重申了各自国家的政府对《保护世界文化和自然遗产公约》、《世界遗产公约》所作的承诺，并回顾了《关于在国家一级保护文化和自然遗产的建议》，二者均是1972年11月16日由联合国教科文组织大会通过的；同时，还回顾了1976年11月26日和1968年11月19日联合国教科文组织大会通过的《关于历史地区保护与现代功能的建议》以及《关于保护受到公共或私营工程危害危害财产的建议》。
代表们进一步回顾了1992年里约日内卢“全球首脑会议”通过的《二十一世纪议程》和1996年伊斯坦布尔“城市最高级会议—人居会议”通过的《人居议程》并注意到1998年4月2日联合国教科文组织在斯德哥尔摩召开的“政府间文化政策促进发展会议”所通过的《文化政策促进发展行动计划》。
代表们还认识到市．长和地方当局在实施以上国际条约和文件的作用正在日益加强，因此，于1998年4月9日重申：
在全球化和城市迅速转变的年代，城市本身的特征应集中体现在历史地区及其文化之中，城市发展的一个基本因素是历史地区的保护和延续。由此，市长及其代表们将致力于：
1．按照联合国教科文组织1972年通过的《保护世界文化与自然遗产公约》中第四、第五条款的精神和内容，采取行动；
2．制定有效的保护政策，特别是通过城市规划措施，保护和修复历史城镇地区，尊重其真实性，一方面，是因为历史城镇地区集中保存着对不同文化的记忆；另一方面，这类城区能够使居民体验到文明由到过去向未来的延续，可持续发展就是建立在这个基础上的；
3．为繁荣丰富多采的文化提供资源和基础设施，从而，推动不同文化背景、自然环境和发展阶段的历史城镇和地区的可持续发展；
4．制定法律保护和规划框架体系，不仅通过立法，而且也通过为居民提供资金和技术手段，鼓励采用传统建筑材料1尊重文化的多样性来开展保护和修复工作，以实现保护和加强历史城镇地区价值的目标；
5.制定与历史城镇形态相协调的历史地区公共服务设施和社会住房政策，为此，在可能的情况下，重新调整现存建筑物的功用，以及需要有一个与这些周边地区环境相联系的公共交通政策；而且重点应该发展步行街；
6.通过采取适当的技术、法规、经济和财务措施，防止对环境的污染；
7．积极支持能够保证历史地区在发展中发挥关键作用的社会和经、济政策；
8．保证旅游能尊重文化、环境和当地居民的生活方式，并且保证由此而创造收入的合理部分能用于保护遗产，加强文化发展；
9.保护并促进作为实体环境不可分割组成部分的无形文化遗产；
10．充分发挥这些政策的有效性，并通过促进公共和私人的合作关系，落实这些政策；
11．制定提高公众认识和教育的计划，以便在遗产保护中能够征得当地居民的意见，并能使其充分参与这项工作；
12．制定执行这些政策的合作计划，为此与联合国教科文组织、欧洲联盟及其他机构一起，共同寻求各自国家和区域当局，以及其他机构的支持，开发中国和欧盟地方当局之间的合作项目，同时，提高邀请其他中国和欧盟历史城市，乃至世界各国城市的参与，扩大此《宣言》的影响范围。
