房地产开发企业资质管理为保障房地产开发企业的合法权益，促进房地产开发事业的健康发展，政府主管部门须加强房地产开发企业的资质管理。房地产开发企业分为专营和兼营两种，专营企业按规定申请资质等级，兼营企业不定资质等级。房地产开发企业应当具备的条件是:①有明确的章程和固定的办公地点。②有独立健全的组织管理机构，有经上级主管部门或董事会任命的专职经理，并配备有同企业等级相适应的专职技术、经济管理人员。③有不少于等级规定的企业自有流动资金。④有符合国家规定的财务管理制度。 房地产开发企业按资质条件划分为5个等级。等级评定的主要依据是企业所拥有的自有流动资金和固定资产，经营能力和业务实绩，专业技术人员和经营管理人员的数量与素质，以及从事房地产经营活动的年限等因素。申请资质等级的房地产开发企业应当提交下列证明文件:企业资质等级申报表，企业资信证明，企业法人代表和经济、技术、财务负责人的职称证件，企业统计年报资料，以及其他有关证明文件。经资质审查合格的企业，由资质审批部门发给《资质等级证书》。新开办的房地产企业，应当在资质审查后，按照《中华人民共和国企业法人登记管理条例》的有关规定，办理开业登记。对于发生分立、合并、变更名称和破产、歇业或因其他原因终止业务时，要重新予以资质审查和办理注销手续。房地产开发企业的资质每年核定一次。对于不符合原定资质标准的企业，由原资质审批部门予以降级或吊销《资质等级证书》。一、二、三、四级企业必须按照确定的业务范围从事房地产开发业务，不得越级承担任务。五级企业只限于在本地区范围内的村镇从事房地产开发经营。以开发个别项目为对象从事单项房地产开发经营的公司(包括外商独资、中外合资、合作企业)不定资质等级，由项目所在地建设主管部门根据其项目规模审定其资金、人员条件，并核发一次性《资质等级证书》。开发企业有下列行为之一的，由原资质审批部门予以警告、责令限期改正、吊销《资质等级证书》，并可处以罚款:①申请资质等级，隐瞒真实情况，弄虚作假的;②不按规定办理变更或注销手续的;③工程质量低劣的;④擅自超越《资质等级证书》规定承担任务的;⑤伪造、涂改、出租、出借、转让、出卖《资质等级证书》的。
