商业贿赂的本质特征是经营者为了获得交易机会或有利的交易条件而采取各种手段账外暗中给相关单位或个人好处。按照当前中央的部署精神，此次专项治理行动针对的是广义的商业贿赂行为，可以包括与商业活动相关的各个环节的贿赂行为，包括国家工作人员利用行政权力收受贿赂的行为。而国家工商行政管理局1996年颁布的《关于禁止商业贿赂行为的暂行规定》，将商业贿赂界定为经营者向对方单位或个人贿赂，这是一种狭义的概括。
治理商业贿赂，采用广义概念比较适当。各个负责单位可以更好地统筹、协调，在更广的范围取得治理成效，尤其是可以使国家工作人员在商业活动中的受贿行为得到整治，抓住这个重点，对专项行动取得效果非常重要。当然，商业贿赂的范围最好由法律、法规更明确、更具体予以规定，执法机关才好依法办案。
商业贿赂行为中构成犯罪的，适用刑法。我国刑法中没有%26ldquo;商业贿赂罪%26rdquo;这个罪名，但针对国家工作人员在商业活动中的贿赂行为，刑法规定有%26ldquo;行贿罪%26rdquo;、%26ldquo;受贿罪%26rdquo;、%26ldquo;介绍贿赂罪%26rdquo;；对于公司、企业中的非国家工作人员，规定有%26ldquo;公司、企业人员受贿罪%26rdquo;和%26ldquo;对公司、企业人员行贿罪%26rdquo;。行为情节较轻、不构成犯罪的商业贿赂行为，由工商行政管理等机关查处。
