【土地使用权抵押合同】抵押人和抵押权人为保证债务的履行而鉴订的合同。土地使用权抵押合同是从合同，它不能独立存在，必须以主合同的有效存在为存在前提。主合同的债权转移，该合同的抵押权也随之转移;主合同的债权消灭，该合同的抵押权也消灭。土地使用权抵押合同以土地使用权作为它的标的物，而不能以土地所有权作为标的物，中国《宪法》第ro条规定:“任何组织或者个人不得侵占、买卖或者以其他形式非法转让土地，土地使用权可以依照法律的规定转让。”土地使用权抵押合同和土地使用权出租合同一样也是要约合同，抵押合同一定要采取书面形式，并且要到有关部门办理登记手续。土地使用权抵押合同是以抵押物的价值来保证债务的履行，并不是为了使用土地及其上的建筑物和其他附属物。土地使用权抵押合同的双方当事人的权利义务如下:1.抵押人的义务:(l)妥善保管抵押物。(2)不能防碍抵押权的实行。2.抵押人的权利:(l)可以继续行使抵押物的用益权。(2)享有对抵押物的占有权。(3)对抵押物有处分权。(4)可以对同一抵押物设定几个不同的抵押权。3.抵押权人的义务:(l)不能防碍抵押人行使正当权益。4.抵押权人的权利:(l)在抵押物价值受损或可能受损时，抵押权人有权实施保护。(2)当债务人不能偿还债务时，抵押权人有处分抵押物、从抵押物价值中优先受偿的权利。(3)可以转让抵押权。土地使用权抵押合同是一种双方的民事行为，双方经过不断协商直到达成协议，抵押合同的订立包括以下两个步骤:1.要约，即抵押人提出订立合同的建议以及合同的主要条款。2.承诺，即抵押权人接受抵押人提出的主要条款。土地使用权抵押合同对于开展土地使用权有偿转让业务、繁荣土地交易市场、维护土地交易的正常秩序、保护合同双方的合法权益、开展房地产开发活动等方面，具有重大意义。
