涉外委托代理合同在对外经济贸易中，受托人以委托人的名义和费用，在授权范围内，为委托人办理委托事务，并由委托人支付约定报酬的协议。受托人办理委托代理的事务与第三人发生的法律后果，完全由委托人承受。各国法律均认为，委托代理合同的目的在于处理事务或管理事务(特别是有法律意义的事务)。
