1955年2月25日,欧洲经济合作组织理事会首次通过一项关于避免重复征税的建议,并于次年3月设立财政委员会。1958年7月财政委员会根据理事会的决定,着手草拟关于避免对所得和财产双重课税的协定范本以及执行的具体意见。1958～1961年，该组织的财政委员会以"消除双重课税"为题，先后发表了4份报告，共列出25项有关消除双重课税的条文。1961年欧洲经济合作组织改组为经济合作与发展组织（简称经合发组织，OECD），其成员国有：澳大利亚、奥地利、加拿大、法国、联邦德国、日本、卢森堡等24个国家。财政委员会继续进行工作，以后又提出了一些新的条文，连同以前的条文一并编入1963年出版的《关于对所得和财产避免双重课税的协定草案》。
该草案为此后签订的20多个发达国家间的双边税收协定，提供了基本模式。1967年以后经过延续10年的修订，最终形成了于1977年发表的这一国际组织税收协定范本。
该协定范本共7章30条,比联合国《关于发达国家与发展中国家间避免双重课税的协定范本》多了"区域的扩大"一条。主要内容有：避免和消除双重征税；避免和防止税收歧视和防止跨国偷漏税等几个方面。由于其结构严谨,概括性强,所以这个协定范本的基本框架、章节安排和绝大部分条文，均被联合国税收协定范本所采用。该范本主要是从发达国家的情况出发，对发展中国家的税收权益考虑不够，因此，发展中国家在签订双边税收协定时较多地参照能够适当照顾地域管辖权的联合国税收协定范本。
