| 《联合国国际货物销售合同公约》 United Nations Convention on Contracts for the International Sale of Goods 联合国国际货物销售合同会议通过，1980年4月11日订于维也纳。《公约》开放签字时间是1980年4月11日～1981年9月30日，签字方19个。《公约》于1988年1月1日生效，到1993年12月31日止，缔约方有36个。中国于1981年9月30日在《公约》上签字，1986年12月21日核准。中国核准《公约》时提出不受《公约》第一条第一款第二项、第十一条以及《公约》中与第十一条内容有关的规定的约束。 《公约》共分为4个部分，计101条。第一部分是适用范围和总则。第二部分是合同的订立。第三部分是货物销售。第四部分是最后条款。《公约》适用于营业地在不同国家的缔约国当事人或国际私法规则导致适用缔约国法律的非缔约国当事人之间所订立的货物销售合同；如果当事人不希望适用《公约》，允许当事人排除适用。《公约》规定，合同自收到承诺时成立。《公约》规定的卖方的义务是交付与合同规定相符的货物、移交单据，担保第三方不能对所交货物提出任何权利或要求；买方的义务是支付价款，接收货物。此外，《公约》还对卖方和买方违反合同的补救办法、风险转移、预期违反合同、分批交货合同、损害赔偿、利息、免责、宣告合同无效的效果、货物保全等作了具体的规定。 |
