由巴克利和卡森首次提出的市场内部化理论，试图在垄断优势理论基础上进一步阐明跨国公司对外直接投资的利益所在。巴克利等人认为：1、外部市场机制失败，这主要是同中间产品（如原材料、半成品、技术、信息、商誉等）的性质和买方不确定性有关。买方不确定性是指买方对技术不了解，卖方对产品保密，不愿透露技术内容，因此跨国公司愿意纵向一体化。横向和纵向都愿意向国外投资。2、交易成本受各种因素的影响，公司无法控制全部因素。如果实现市场内部化，即把市场建立在公司内部，通过内部转移价格可以起到润滑作用。3、市场内部化可以合理配置资源，提高经济效率。国际直接投资倾向于高技术产业，强调管理能力，使交易成本最小化，保证跨国公司经验优势，都是为了实现上述各方面要求。由于内部化理论综合吸收了其他理论的合理内核，能解释大部分对外直接投资的动因，因而有助于对跨国公司的成因及其对外投资行为的进一步深入理解。
