| 破产 bankruptcy 债务人在其全部财产不能清偿到期债务，又不能达成和解结束债务关系时，法院宣告债务人破产并依法定顺序和比例强制公平偿还其财产于债权人的法律制度。破产的实体法律意义为：①债务人不能清偿其到期债务为破产的事实根据。②破产为法人消灭的原因之一。③破产为分配已受破产宣告的债务人之财产的方法和途径。④破产的目的在于通过诉讼手段保护债权人与债务人的利益。⑤破产一般地免除了债务人继续清偿其未清偿之债务。破产的一般程序为：对破产的申请，债务人、债权人均可提出。由法院宣告破产并指定破产清算组管理破产人的财产并进行清理。各债权人应在法定期限内向清算组申报债权，以确定破产人的资产负债额。清算后的全部财产，按法定顺序和比例公平分配给债权人以抵偿债务。经破产程序清理债务后仍未清偿的部分，债务人不再负清偿责任。 |
