The company shall start the procedure for protecting the creditors within a certain period following the date on which the division resolution is adopted.
公司应当自作出分立决议之日起一定期限内实施债权人保护程序,债权人应无权直接阻却公司分立;分立公司的债务应由分立后的有关公司承担,明确有关公司承担或不承担连带责任的情形;明确分立公司的债务保证人承担或不承担相关责任的情形;应给予公司债持有人以特殊保护。
