中国古生物科学技术工作者的群众性学术团体，于1929年在北平成立。30～40年代曾一度停止活动，1949年后恢复正常工作。1979年会址迁至南京。孙云铸为首任会长，现任理事长为卢衍豪。学会的宗旨是团结全国古生物工作者,组织和开展国际、国内学术交流活动,推动学科的发展，普及古生物科学知识。学会由全国会员代表大会选举产生的理事会领导，常务理事会主持日常工作。学会下设孢粉、微体古生物、古植物、古脊椎动物4个分会；化石藻类、介形类、古生态3个专业委员会；笔石、腕足动物、三叶虫、珊瑚、头足类、双壳类、腹足类、甲壳类、牙形类、苔藓－层孔虫、轮藻、、有孔虫、小壳化石等14个学科组。有些省、自治区、市还设有地方分会或学组。理事会下设编辑委员会、教育和普及委员会，国际交流委员会。1979年，中国古生物学会加入国际古生物协会，成为它的团体会员，参加有关的国际会议和学术活动。学会出版定期刊物：《古生物学报》、《微体古生物学报》，以及不定期会刊和文集等。
